General conditions governing the provision of our professional services

2. Object and Scope of Application
These terms regulate the provision of professional services by ARXS TECHNOLOGY GROUP SL, including:
- Industrial automation and process control consulting
- Cybersecurity services for industrial environments (OT)
- Machine safety certifications and ATEX regulations
- Specialized technical engineering and consulting
- Security audits, risk assessments and compliance
- Specialized technical training
The contract is concluded with the acceptance of the commercial proposal by the client.
3. Client Obligations
The client undertakes to:
- Provide truthful, complete and updated information about their needs
- Facilitate access to facilities, documentation and necessary personnel
- Comply with applicable safety and hygiene regulations
- Designate a competent technical contact person for project coordination
- Pay professional fees within the agreed terms and conditions
- Actively collaborate in the implementation of recommendations
4. ARXS TECHNOLOGY GROUP Obligations
ARXS TECHNOLOGY GROUP SL undertakes to:
- Provide services with maximum professional diligence
- Assign qualified and certified technical personnel
- Comply with agreed deadlines, except for unforeseen circumstances
- Maintain confidentiality of client information
- Provide detailed technical reports and complete documentation
- Offer post-project technical support according to agreed conditions
5. Fees and Payment Conditions
- Fees are established in the specific commercial proposal for each project
- Prices include VAT when applicable according to current legislation
- Payment terms are 30 days from the invoicing date
- Travel expenses and allowances will be invoiced separately according to current rates
- Late payment will accrue default interest according to Law 3/2004
6. Intellectual and Industrial Property
Intellectual and industrial property rights over:
- Methodologies, procedures and know-how are property of ARXS TECHNOLOGY GROUP SL
- Reports and documentation generated are property of the client
- Proprietary software and tools used remain under ARXS TECHNOLOGY GROUP SL ownership
- Client confidential information will be protected according to confidentiality agreement
7. Limitation of Liability
ARXS TECHNOLOGY GROUP SL liability will be limited to:
- The total amount invoiced for the project in question
- Direct damages arising from proven intent or gross negligence
- Indirect damages, loss of profits or data loss are not included
- Damages from improper use of recommendations are excluded
- Client must report any deficiency within a maximum period of 30 days
8. Force Majeure
The following are considered force majeure causes that exempt from liability:
- Natural disasters, pandemics or exceptional health situations
- Labor conflicts, strikes or stoppages not attributable to the company
- Failures in communication infrastructure or energy supply
- Government provisions or supervening regulatory changes
9. Dispute Resolution
For dispute resolution:
- The parties will attempt to resolve any discrepancy amicably
- In case of conflict, the jurisdiction of Barcelona will be competent
- Current Spanish legislation will apply
- Arbitration will be favored when appropriate
10. Modifications and Validity
These general conditions may be modified unilaterally, notifying the client 30 days in advance. Modifications will not affect ongoing projects.
